Job overview:
We are seeking a Specialist – Governance to play a crucial role in shaping and maintaining the corporate governance framework that drives ethical decision-making and regulatory compliance within the organization. This role requires a detail-oriented professional who can work across departments to ensure that governance practices align with industry standards, regulatory requirements, and strategic business objectives. As a key player in managing risk, facilitating board activities, and ensuring transparency in governance practices, the Governance Specialist will be instrumental in fostering an accountable and well-governed organization.
Key responsibilities:
- Assist in designing, implementing, and continually improving the organization’s governance framework, including policies, procedures, and controls.
- Ensure governance practices align with company goals, regulatory standards, and industry best practices.
- Maintain and update governance documentation such as charters, bylaws, and policies.
- Develop and implement risk management frameworks that support governance objectives.
- Identify and assess risks related to governance, recommending strategies for mitigation.
- Monitor and report on governance-related risks and controls, proposing solutions for risk reduction.
- Generate periodic reports on governance activities, compliance issues, and risk management for senior management and the board.
- Analyze governance-related data to identify trends, gaps, and areas for improvement.
- Ensure timely and accurate dissemination of governance information to key stakeholders.
Education:
- Bachelor’s degree in business administration, Law, Risk Management, or a related field. A master’s degree is a plus.
- Relevant certifications such as Certified in Governance, Risk, and Compliance (CGRC), Certified Compliance & Ethics Professional (CCEP), or similar are a plus.
Skills
- Strong understanding of governance frameworks, regulatory requirements, and industry best practices.
- Excellent organizational, analytical, and problem-solving skills. Ability to manage multiple projects and priorities simultaneously.
- Strong written and verbal communication skills, with the ability to effectively communicate complex governance concepts to diverse audiences.
- Proficiency in governance, risk, and compliance (GRC) software and tools is preferred.
- Ability to work collaboratively across departments and at all organizational levels.
- Experience in supporting board and committee activities.
